Our Society
George Derby Centre is owned and operated by the George Derby Care Society and is fully accredited by the Canadian Council on Health Services Accreditation. The Society is a non-profit community-based organization, governed by a volunteer Board of Directors. Friends, community citizens and service organizations are encouraged to join the Society.

Constitution

  1. The name of the Society is George Derby Care Society.
  2. The purposes of the Society are:
  • To establish or acquire by purchase, gift, transfer, lease or otherwise, and to maintain and operate on a non-profit basis, facilities for providing residential care with daily health care and personal care assistance, and facilities for providing independent housing with support and personal care services for seniors;
  • To carry on activities related to the provision of residential care, health care and personal care assistance, independent housing and support and personal care services for seniors which, in the opinion of the Board of Directors, may be justified by the facilities, personnel, funds or other requirements but are, or can be, available to the Society;”
  • In association with the provisions of clause 2(a) above, to co-operate with an, where possible, provide services to other community facilities or organizations concerned with the general health of the community.

     

  1. The Society shall be carried on without purpose of gain for its members and any profits or other accretions to the Society shall be used for promoting its purpose. No member of the Board shall be paid any remuneration for services rendered to the Society or the facility but may be paid his reasonable expenses in acting as a member.
  2. Upon winding-up or dissolution of the Society after repayment to the Government of the Province of British Columbia of a sum determined by the Minister and approved by Canada Mortgage and Housing Corporation to be the proportionate to the amount of financial assistance granted by the Province in the purchase of the real and personal property of the Society the assets remaining after the payment of all costs, charges and expenses properly incurred in the winding-up, including the remuneration of a liquidator, and after payment to employees of the Society of any arrears of salaries or wages, and after the payment of any other debts of the Society, shall be distributed to a charitable organization (or organizations) in Canada, registered under the provisions of the Income Tax Act, which shall be designated by the Board of Directors.. Any of such assets remaining which had originally been provided for specific purposes, shall, wherever possible, be distributed to a charitable organization, registered under the provisions of the Income Tax Act, carrying on work of a similar nature to such specific purposes.
  3. The Society shall confine its operations to the Province of British Columbia and shall not undertake other ventures which are disassociated from the operation of a specialized residential, personal or intermediate care facility without written permission from the Minister of Health.
  4. The Society shall not alter its constitution and by-laws without first obtaining written permission from the Minister of Health.
  5. Clauses 3, 4, 5 and 6 of this constitution, including this clause are unalterable.
